  1. What is a Limited Partnership?
  2. The limited partnership is formed by filing a charter with a state government and consists of a general partner and one or more limited partners. The charter details the rights and powers of the limited and general partners, percentages of ownership, and distributions of profits. The general partner manages the business. The limited partners are passive investors liable only for the amount of their investment.

  3. What are my risks?
  4. As in any investment there is a risk of total loss. The ski resort investment is in real estate comprising the building and development of an all suite hotel without mortgage or bank financing. This lack of debt eliminates much of the risk of total loss. There remain matters much beyond the promoters control such acts of god, war, and market fluctuations in income and or real estate values. All investors are provided the opportunity to visit the resort, meet with management, be provided with documents as required to enable review of the investment, with references to permit independent verification of the information contained in the investment prospectus.

  5. Why is the developer promoter using foreign investors for this EB-5 program?
  6. We don't need to use the EB-5 approach because we can get commercial financing for the project but it is a benefit to us to do so.

    • Our benefit is 0% interest for the start-up, plus the benefit of the Suite Hotel to our operation, both winter and summer.
    • The State gets job creation in a region that wants growth.
    • The Investor gets a green card and a very good likelihood of a return of all their investment.
